Terms of Service

By accessing or using the website located at https://novamodsystems.com (the "Site"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue use of the Site.

These Terms constitute a legally binding agreement between you and NOVAMOD Systems LLC, a Florida limited liability company ("NOVAMOD," "we," "us," or "our"). These Terms apply to all users of the Site, whether you are an individual consumer acting for personal or residential purposes, or a business representative acting on behalf of a company or other entity.

NOVAMOD sells and imports prefabricated modular bathroom solutions to two categories of customers:

Where these Terms specify different rights or obligations for Business Customers versus Individual Consumers, those distinctions are noted expressly. Where no distinction is made, these Terms apply equally to all users.

NOVAMOD Systems LLC is engaged in the sale and importation of prefabricated modular bathroom solutions for residential, commercial, industrial, governmental, and agricultural applications. Through the Site, NOVAMOD provides:

• An informational product catalog showcasing available modular bathroom models, specifications, and general pricing guidance;
• A quote request form allowing users to submit project details and request a commercial proposal;
• General information about the company, its products, capabilities, and contact information;
• Transactional email communications related to submitted quote requests.

The Site does not currently offer an e-commerce checkout, payment processing, or the ability to execute binding purchase contracts online. All sales are conducted through a separate offline process, pursuant to written purchase agreements, following the quote review process described in Section 4.

5.1 For all users. By using the Site, you represent that:

• All information you provide through the Site is accurate, current, and complete;
• You will use the Site only for lawful purposes and in compliance with applicable federal, state, and local laws, including the CAN-SPAM Act, the Florida Computer Crimes Act (§ 815, Fla. Stat.), and applicable export control laws;
• You will not use any automated means, scraping tools, robots, or spiders to access or extract data from the Site;
• You will not attempt to gain unauthorized access to any portion of the Site or its underlying systems;
• You will not upload or transmit viruses, malware, or any other harmful code;
• You will not engage in conduct that unreasonably burdens or disrupts the Site's infrastructure;
• You will not submit information that is false, defamatory, unlawful, or infringing of third-party rights.

5.2 Additional representations for Business Customers. If you are using the Site on behalf of a business entity, you additionally represent that you have full legal authority to act on behalf of that entity and to bind it to these Terms.

5.3 Age requirement. You must be at least 18 years of age to submit a quote request or enter into any agreement with NOVAMOD. By using the Site, you represent that you meet this age requirement.

7.1 General disclaimer. THE SITE AND ALL CONTENT AND SERVICES PROVIDED THROUGH IT ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NOVAMOD DOES NOT WARRANT THAT THE SITE WILL OPERATE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7.2 For Business Customers. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NOVAMOD EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.3 For Individual Consumers. If you are an Individual Consumer (a person purchasing or inquiring for personal, family, or residential use), NOVAMOD does not disclaim implied warranties to the extent such disclaimers are prohibited by Florida law or other applicable consumer protection statutes. Under Florida law (§ 672.316, Fla. Stat.), certain implied warranties cannot be fully disclaimed in consumer transactions. Any disclaimer in Section 7.2 applies only to the extent permitted by applicable consumer protection law.

7.4 Product information. Product specifications, dimensions, and images displayed on the Site are for informational purposes only and are subject to change without notice. Confirmation of specific product attributes for your project should be obtained in writing as part of the quote and purchase process.

8.1 For Business Customers. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOVAMOD, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO BUSINESS CUSTOMERS FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, EVEN IF NOVAMOD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOVAMOD'S TOTAL CUMULATIVE LIABILITY TO BUSINESS CUSTOMERS FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

8.2 For Individual Consumers. NOVAMOD does not seek to limit its liability to Individual Consumers beyond what is permitted by applicable law. To the extent any limitation of liability applies to Individual Consumers under Florida law, NOVAMOD's total liability for claims arising from your use of the Site (not from a separate written purchase agreement) shall be limited to a reasonable amount determined by applicable law and the circumstances of the claim. Nothing in these Terms limits NOVAMOD's liability for: (a) personal injury caused by NOVAMOD's negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable law, including the FDUTPA.

8.3 Applicability. Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, NOVAMOD's liability shall be limited to the greatest extent permitted by law.

9.1 Business Customers. Business Customers agree to defend, indemnify, and hold harmless NOVAMOD Systems LLC and its members, managers, officers, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) use of the Site in violation of these Terms; (b) submission of false, inaccurate, or misleading information; (c) violation of any applicable law or regulation; or (d) infringement of any third-party intellectual property or other rights.

9.2 Individual Consumers. Individual Consumers agree to take reasonable steps to avoid causing harm to NOVAMOD or third parties through their use of the Site, and shall be responsible for losses directly caused by their intentional misconduct or gross negligence. The broad indemnification in Section 9.1 does not apply to Individual Consumers acting in their consumer capacity.

NOVAMOD reserves the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. For material changes, we will make reasonable efforts to provide notice on the Site.

Your continued use of the Site after the effective date of any revised Terms constitutes your acceptance of those revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Site. Individual Consumers will always have the benefit of applicable statutory protections regardless of any changes to these Terms.
